23、賠償例外

　　由于一般公認的“人力不可抗拒”原因而不能交貨或延遲交貨，賣方或買方都不負責任。但賣方應在事故發生后立即用電報或電傳告買方并在事故發生后15天內航空郵寄買方災害發生地點之有關政府機關或商會所出具的證明，證實災害存在。如果上述“人力不可抗拒”繼續存在60天以上，買方有權撤銷合同的全部或一部。

　　24、仲裁

　　雙方同意對一切因執行和解釋本合同條款所發生的爭議，努力通過友好協商解決。在爭議發生之日起一個合理的時間內，最多不超過90天，協商不能取得對買賣雙方都滿意的結果時，如買方決定不向他認為合適的有管轄權的法院提出訴訟，則該爭議應提交仲裁。除雙方另有協議，仲裁應在中國北京舉行，并按中國國際貿易促進委員會對外貿易仲裁委員會所制訂的仲裁規則和程序進行仲裁，該仲裁為終局裁決，對雙方均有約束力。仲裁費用除非另有決定，由敗訴一方負擔。
